Fees and No-Refund Policy<\/p>

Fees; Consideration; No Refunds<\/p>

Participant acknowledges and agrees that any and all fees paid to Web Pros (the \u201cCompany\u201d) are paid solely in consideration for access to the Company\u2019s proprietary platforms, systems, onboarding processes, training, administrative infrastructure, and related services (collectively, the \u201cProgram Services\u201d).<\/p>

All payments made by Participant are final, non-refundable, and non-cancelable, except where such limitation is expressly prohibited by applicable law. Participant further acknowledges that:<\/p>

Access to Program Services is granted immediately upon enrollment;
The value of such access is realized upon provision of credentials, onboarding materials, and system availability;
Fees are not paid for, and do not represent, any ownership interest, equity, profit participation, or investment in the Company; and
No refunds, credits, or offsets shall be issued based on Participant\u2019s level of activity, utilization of services, business performance, or any external market conditions.<\/p>

Nothing in this provision is intended to waive or limit any non-waivable consumer rights under applicable law.<\/p>

Incentive Participation (Founder Pool Allocation)<\/p>

Discretionary Incentive Allocation; No Equity or Investment Interest<\/p>

From time to time, the Company may establish and administer internal incentive programs, including a Founder\u2019s Pool or similar allocation structure (the \u201cIncentive Program\u201d). Subject to Company approval and continued compliance with Program requirements, Participant may be designated to receive a 1.00% allocation within such Incentive Program.<\/p>

Participant expressly acknowledges and agrees that:<\/p>

Any such allocation constitutes a contractual, discretionary incentive designation only, and does not represent or convey any equity, ownership interest, membership interest, or shareholder rights in the Company;
The Incentive Program, including all allocation percentages, is subject to modification, dilution, suspension, or termination at any time in the sole discretion of the Company;
Participation in the Incentive Program may be conditioned upon factors including, but not limited to, performance benchmarks, active engagement, compliance with Company policies, and vesting requirements as determined by the Company;
The allocation does not entitle Participant to any guaranteed payment, distribution, dividend, or financial return, and no such outcome is promised or implied; and
The Incentive Program is not an investment offering, not a security, and not offered in exchange for any fee paid by Participant, and shall not be construed as such under any applicable federal or state law.<\/p>
